These Terms & Conditions (“Terms”) govern your access to and use of the Inventory Labs System (the “Service”) provided by GANESH DNYANESHWAR ADAK (“we”, “us”, “our”), having registered/operational address: Shiv Ganesh Nagar, Dhawade Wasti, Near Sopan Medwell Medical, Pune, Maharashtra 411039, India.

1. Nature of Service

We provide cloud-based billing, inventory, and POS software for retail businesses. Access is delivered digitally—no physical shipping is involved.

2. Acceptance

By using our website/app or purchasing a subscription, you agree to these Terms and our Privacy Policy, Cancellation & Refund Policy, and Shipping & Exchange Policy.

3. Accounts & Access

• You are responsible for securing your login credentials and all activity under your account.
• You must provide accurate information and promptly update changes.

4. License & Restrictions

• We grant a limited, non-transferable, non-exclusive license to use the Service for your internal business purposes.
• You shall not reverse engineer, resell, sublicense, or exploit the Service except as explicitly permitted.

5. Payments & Billing

• Subscription fees are payable in advance. Prices may change upon notice posted on our website/app.
• Taxes (if applicable) are your responsibility.

6. Data & Content

• You retain ownership of your business data. You grant us a license to process it solely to provide the Service.
• You are responsible for the legality and accuracy of data you upload.

7. Availability & Updates

• We strive for high availability but do not guarantee uninterrupted Service.
• We may roll out updates, improvements, or maintenance without prior notice.

8. Warranties & Disclaimers

The Service is provided “as is” and “as available”. We disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages. Our aggregate liability shall not exceed the fees paid by you in the preceding three (3) months.

10. Termination

We may suspend or terminate access for breach of these Terms or unlawful activity. You may stop using the Service at any time.

11. Third-Party Services

Payments are processed by third-party providers (e.g., payment gateways). Their terms may apply independently.

12. Intellectual Property

All software, UI, and related materials are our intellectual property. No rights are transferred except as expressly licensed.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Courts at Pune, Maharashtra shall have exclusive jurisdiction.

14. Changes

We may modify these Terms by posting an updated version. Continued use constitutes acceptance.
